Terms of Service

1. Acceptance of the Terms

These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "User") and Bula Pro ("we," "us," "our," or the "Platform"), operating under the consumer brand Bula Live, governing your access to and use of the Bula Live mobile application (the "App") and all related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

2. Eligibility

To use the Services, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into a binding agreement;
  • Not be prohibited from using the Services under applicable law;
  • Provide accurate and complete registration information;
  • Verify your email address before accessing the Platform.

If you are registering on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Account Registration and Security

Registration

To access the Services you must create an account by providing your name (or your company name, if you are registering as a Company), a valid email, a secure password (minimum 8 characters), your user role, and the role-specific information required by Section 4.

Email verification

All accounts require email verification before access is granted. Your account is not active until you confirm your email address.

Account security

You are responsible for maintaining the confidentiality of your credentials, for all activity that occurs under your account, and for notifying us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts we believe have been compromised.

Account accuracy

You agree to provide accurate, current, and complete information and to update it as needed. We reserve the right to suspend or terminate accounts with inaccurate or misleading information.

4. User Roles and Verification

The Platform supports five roles:

  • Homeowner — property owners who post construction projects and hire professionals. Requires email verification only.
  • Company (formerly displayed as "Contractor" — the underlying role identifier in our systems remains contractor) — construction businesses that own projects, coordinate workforce, and hire Subcontractors and Workers. Must complete document verification to appear in marketplace search. Your company name is your primary identity in this role: it appears as your name throughout the App, and your profile photo represents your company logo.
  • Subcontractor — specialized construction businesses that bid on projects and manage worker crews. Must complete document verification.
  • Worker — hourly workers who join workforce job offers and perform construction tasks. Must complete worker-compliance document verification.
  • Administrator — Platform administrators who manage users, verify documents, process withdrawals, and oversee operations.

Document verification

Companies, Subcontractors, and Workers must submit verification documents to access all features. Documents are stored in a secure, private storage system accessible only by administrators via short-lived signed URLs. Unverified users are excluded from marketplace search results and from certain action surfaces (for example, an unverified user cannot send a bid or apply to a job offer).

Document retention

Verification documents remain securely stored even after approval for legal compliance, dispute resolution, and regulatory audit purposes.

5. Platform Services

Marketplace

The Platform provides a marketplace where Homeowners and Companies can post projects; Companies and Subcontractors can browse and bid on them; workforce job offers can be posted to recruit Workers; Workers can browse and apply to opportunities; and users can send and receive pings (quick work offers). Only verified users appear in marketplace search results.

Live Channel ("Bonfire")

The Live Channel is a unified, real-time feed of active job offers and open projects. Project cards display the top three anonymized bid amounts (labeled "Offer A," "Offer B," "Offer C") and the count of interested users. Bidder identities are not disclosed to other browsers; only the project owner sees who submitted each bid. Projects that have transitioned to "in progress" or have been awarded display a locked state and do not surface the live offer list.

Contracts

Contracts are generated automatically when a ping is accepted, when a Worker joins a workforce request, or when a project is otherwise assigned. Each contract records both parties, project details, financial terms, status, and timestamps. While the Platform aims for atomic creation, in rare cases a contract may briefly exist only in client-side state until the next reload — financial actions are not authorized against unconfirmed contracts.

Milestones

Projects are managed through milestones with mandatory descriptions (minimum 10 characters), required evidence uploads, approval flows, and automatic payment distribution upon approval. Approved milestones cannot be reversed. Project owners may mark a project complete once at least one milestone has been approved; doing so cancels any orphan milestones and refunds unspent escrow.

Communication

The Platform provides real-time messaging including direct 1-to-1 conversations, group conversations for workforce teams, on-demand AI translation between English and Spanish via a server-side proxy, and push notifications. Chat threads only open after a PIN has been accepted (see Section 10).

Ratings and reviews

After completing a project, parties may leave ratings and written reviews. Reviews must be honest and factual. We reserve the right to remove reviews that violate these Terms.

Time Clock and hourly check-ins

Workers use the in-App Time Clock to start and end shifts on contracts with a defined job site. Geofence-verified clock-in, first-daily-selfie verification, low-frequency heartbeat pings while on shift, scheduled hourly check-in prompts with heavy-vibration push delivery, and a 5-minute grace window before a missed check-in is recorded — see the Privacy Policy for the data flow and Section 9 of these Terms for your obligations.

6. Payments, Escrow, and Fees

Payment processing

All payments are processed through Stripe. By using the payment features, you also agree to Stripe's terms of service. We do not store your full credit card or bank account numbers.

Escrow system

Funds deposited for projects and hourly workforce requests are held in escrow until milestones or shifts are approved. Funds are charged immediately via Stripe, held in a "blocked" balance, and distributed automatically per the fee structure below. Unspent funds are refunded to the depositor when the project or job offer is completed or cancelled.

Worker payouts

Workers are paid LEAST(actual_hours, planned_hours) × hourly_rate from the escrow that was deposited for the workforce request. Hours that exceed the planned cap for a worker are not compensated from escrow; any unspent budget is refunded to the depositor on completion. Server-side calculations are authoritative; UI previews are informational only.

Withdrawals

Users may withdraw their available ("withdrawable") balance subject to the following:

  • Minimum withdrawal: $10.00.
  • One pending withdrawal request at a time per user.
  • Each request is reviewed by an administrator and includes an admin↔user messaging thread.
  • We reserve the right to deny withdrawal requests if fraud is suspected.

Refunds

Unspent escrow is refunded automatically upon project completion or deletion. Disputed payments are handled case by case.

Tax responsibility

You are solely responsible for determining and complying with your tax obligations arising from your use of the Platform.

7. Prohibited Conduct

By using the Services, you agree NOT to:

Platform integrity

  • Attempt to circumvent the Platform by sharing personal contact information through chat or any other feature;
  • Arrange payments or work agreements off-platform;
  • Create multiple accounts;
  • Use another user's account without authorization;
  • Manipulate ratings or search results;
  • Submit false or misleading verification documents;
  • Misrepresent your qualifications or credentials;
  • Abuse the PIN-to-Connect system by sending unsolicited PINs at scale, scraping profiles, or otherwise using PIN messages for spam.

Communication

  • Use the chat system to harass, threaten, intimidate, or abuse other users;
  • Send spam or unsolicited promotional content;
  • Attempt to circumvent the AI-based contact-sharing detection;
  • Distribute malware or harmful code;
  • Impersonate another person or entity.

Financial

  • Submit fraudulent payment information;
  • Attempt to manipulate escrow balances or fee calculations;
  • Submit false withdrawal requests;
  • Exploit payment processing systems;
  • Charge back legitimate payments.

Time-clock and worksite

  • Spoof your GPS location to defeat geofence checks at clock-in;
  • Have another person submit your first-daily selfie;
  • Pre-authorize, automate, or delegate hourly-check-in confirmations on your behalf;
  • Continue to receive hourly-check-in pushes while you are not physically present at the job site.

Legal

  • Use the Services for any unlawful purpose;
  • Violate intellectual property rights;
  • Engage in discrimination;
  • Violate labor laws or workplace safety requirements.

Technical

  • Attempt to reverse-engineer the App;
  • Interfere with the Services or servers;
  • Circumvent security features;
  • Use automated tools to access the Platform;
  • Attempt to access another user's data.

8. AI-Powered Features

Chat translation

The Platform uses AI to translate chat messages between English and Spanish on demand. Although we strive for accuracy, AI translations may not be perfect. Users should clarify important terms, amounts, dates, and specifications directly with the other party. Bula Live is not responsible for misunderstandings arising from translation inaccuracies.

Contact-sharing detection

The Platform uses a combination of client-side patterns and server-side moderation to detect attempts to share personal contact information. This system is applied equally to all parties; blocks messages with detected contact information; notifies the sender when a message is blocked; and logs attempts for administrative review. The system exists to protect every user by ensuring work agreements and payments are processed through the Platform's secure escrow system. Attempting to circumvent this system is a violation of these Terms.

9. Location Sharing and the Time Clock

Voluntary sharing

Workers may voluntarily share their live location with recruiters by pasting a Google Maps or Apple Maps link into their profile. This feature is entirely optional.

Time-Clock collection

By starting a Time Clock shift on a contract with a defined job site, you authorize the App to (a) capture a single foreground GPS reading at clock-in, (b) capture a first-daily selfie, and (c) post low-frequency GPS heartbeat pings while you are on shift. This collection is limited to the duration of an active shift.

No background tracking

Bula Live does NOT perform background GPS tracking, geofencing, or any form of continuous location monitoring outside of an active shift. The App does not request "Allow always" location permission. For the optional location-sharing link, we store only the URL string — not your geographic coordinates.

Worker control

Workers retain full control over location sharing. You may update or remove your voluntary location link at any time from your profile settings. You may end a Time-Clock shift at any time, which immediately stops heartbeat collection.

10. Profile PINs and Messaging Gate

To reduce unwanted messaging and protect Worker and Subcontractor inboxes, Bula Live gates direct messaging behind a PIN to Connect step. The high-level rules are:

  • Any user may visit another user's profile.
  • To start a chat, the visitor sends a short PIN message (one line of text).
  • The recipient sees the PIN as a notification and may accept it (which opens a chat thread) or ignore it.
  • Until a PIN is accepted, no chat thread exists between the two users.
  • A 24-hour cooldown limits how often the same sender can re-send a PIN to the same recipient.
  • PIN messages are subject to the same prohibited-conduct rules as chat messages, including the contact-sharing prohibition in Section 7.

By sending a PIN message you confirm that the message text will be delivered to and stored for the recipient and that you have read and accept these Terms.

11. Intellectual Property

Platform ownership

The App, including all software, designs, text, graphics, logos, icons, images, and other content, is owned by Bula Pro and is protected by copyright, trademark, and other intellectual property laws.

User content

You retain ownership of the content you create and upload to the Platform. By uploading content, you grant Bula Live a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely for the purpose of providing the Services.

Feedback

Any feedback, suggestions, or ideas you provide regarding the Services may be used by Bula Pro without any obligation to you.

12. Limitation of Liability

Platform role

Bula Live is a marketplace platform that facilitates connections. We are NOT a party to the contracts between users, we do NOT employ any Worker, Company, or Subcontractor, and we do NOT guarantee the quality, safety, legality, or timeliness of any work performed.

Disclaimer of warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

Limitation of damages

To the maximum extent permitted by applicable law, Bula Pro will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or use, arising out of or related to the Services. Our total aggregate liability will not exceed the greater of (a) the amount you paid in fees during the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100.00).

Construction work

Bula Live is not responsible for the quality or safety of construction work, compliance with building codes, workplace injuries, property damage, or disputes between users regarding scope of work.

13. Indemnification

You agree to indemnify, defend, and hold harmless Bula Pro, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Services; your violation of these Terms; your violation of any applicable law; any content you submit to the Platform; any dispute between you and another user; and any construction work performed or received through the Platform.

14. Dispute Resolution

Between users

Disputes between users should first be addressed through direct communication via the Platform's messaging system. If a resolution cannot be reached, users may contact Bula Live's admin team for assistance, though we are not obligated to mediate or resolve user disputes.

Between user and Bula Live

Informal resolution first by contacting us at contact@bulaapp.us. We will attempt to resolve the dispute informally within 30 days. If not resolved, binding arbitration administered by the American Arbitration Association (AAA).

Class action waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Exceptions

Either party may bring a claim in small-claims court if it qualifies, and either party may seek injunctive relief to prevent infringement of intellectual property rights.

15. Termination

By you

You may terminate your account at any time by contacting us. Your account will be deactivated, you must complete any outstanding financial obligations, any remaining balance may be withdrawn prior to closure, and your profile will be removed from search results.

By Bula Live

We may suspend or terminate your account at any time if you have violated these Terms, engaged in fraudulent or illegal activity, your account poses a security risk, you have submitted false documents, your account has been inactive for an extended period, or continued provision of the Services is no longer commercially viable.

Effect of termination

Your right to access and use the Services immediately ceases, we may retain your data as required by law, sections that by their nature should survive termination shall survive (including Sections 11–14 and 20), outstanding financial obligations remain enforceable, and active contracts between you and other users remain binding until completed or mutually terminated.

16. Rate Limits and Anti-Spam

To maintain platform quality and prevent abuse, the following limits apply:

  • Pings per day: maximum 10 per user;
  • Active projects: maximum 5 per user;
  • Open workforce requests: maximum 5 per recruiter;
  • Active jobs per worker: 1 at a time;
  • Minimum withdrawal: $10.00;
  • Pending withdrawals: 1 at a time;
  • Minimum project description: 20 characters;
  • Minimum milestone description: 10 characters;
  • Minimum ping message: 10 characters;
  • Profile PINs to the same recipient: 1 per 24-hour window per sender.

Duplicate pings, duplicate bids, and double-approval of milestones are automatically prevented by the Platform.

17. Modifications to the Services

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Services.

18. Modifications to These Terms

We may revise these Terms at any time. We will notify you of material changes by posting the updated Terms within the App, updating the "Last Updated" date at the top of this document, and sending a push notification for significant changes. Your continued use of the Services after any changes constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Services and terminate your account.

19. General Provisions

Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Bula Pro regarding the Services.

Severability

If any provision is found unenforceable or invalid, it shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Notices

We may provide notices through the App, via push notification, or by email. You may provide notices to us by email at contact@bulaapp.us.

Relationship of parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Bula Pro.

20. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the United States and the state in which Bula Pro is incorporated, without regard to conflict-of-laws principles.
